HomeMy WebLinkAbout02-1140 11-12-2002RESOLUTION NO. 02-1140 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF EULESS, TEXAS, AUTHORIZING ITS CITY MANAGER TO ENTER INTO AN INTERLOCAL AGREEMENT WITH OTHER TARRANT COUNTY CITIES FOR THE PURPOSE OF COOPERATIVE PURCHASING OF GOODS AND SERVICES. WHEREAS, the governing bodies of the member cities, all political subdivision of the State of Texas, desire to secure for each member city the benefits of cooperative purchasing of goods and services; and WHEREAS, the agreement attached hereto is made under the authority of and pursuant to the Texas Interlocal Cooperation Act, Chapter 791 of the Texas Govemment Code, as amended, providing for cooperation between local governmental bodies in the purchase of goods and services, among other things; and WHEREAS, participation by the City of Euless in the attached Interlocal Agreement for Cooperative Purchasing of Goods and Services will promote the health, safety and general welfare of the citizens of Euless. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF EULESS, TEXAS: SECTION 1 The City of Euless, Texas, does hereby agree to participate in an interlocal agreement in the form attached hereto between the cities signatory thereto, for the purpose of cooperative purchasing of goods and services by the member cities. SECTION 2 The City Council of the City of Euless, Texas, hereby authorizes its City Manager to enter into the attached Interlocal Agreement on behalf of the City of Euless, for the purpose of cooperative purchasing of goods and services as provided in said Agreement. SECTION 3 This resolution shall take effect from and after the date of its passage, as provided by law. PASSED AND APPROVED this 12th day of November, 2002, at a regular meeting of the City Council of the City of Euless, Texas, by a vote of 7 ayes, 0 nays, and 0 abstentions. APPROVED: 4x /rIi tL Mary Lib Si eh, Mayor ATTEST: CMC, City Secretary AN INTERLOCAL AGREEMENT FOR COOPERATIVE PURCHASING OF GOODS, PRODUCTS AND /OR SERVICES This Agreement is entered into by and between the cities signatory to this Agreement, all being municipal corporations chartered under the Constitution of the State of Texas, hereinafter referred to as "member cities ", each acting through their duly authorized representatives. WHEREAS, the member cities desire to secure for each city the benefits of cooperative purchasing of goods, products, and services; and WHEREAS, this Agreement is made under the authority granted by and pursuant to the Texas Intel-local Cooperation Act, Chapter 791 of the Texas Govemment Code providing for cooperation between local govemmental bodies. The parties hereto, in consideration of the covenants and mutual promises contained herein, hereby make the following agreement: 1. Prior to any collective purchases under this Agreement, the cities will designate which city shall be responsible for the bidding process for a particular purchase. Member cities agree that all specifications for said items shall be determined in cooperation with all members, with final approval vested in the city responsible for final bid process. 3. Each member shall be responsible for placing orders directly with and for making payment directly to the vendor under each contract entered into pursuant to the cooperative purchasing program, and shall be responsible for the vendors compliance with all conditions of delivery and quality of the purchased items. No member shall be obligated to purchase any item merely by virtue of that member approving specifications for said item, or by requesting to be included in an "open" contract for such items. All payments for goods or services shall be made from current revenues available to the paying party. Each member shall designate an official representative to act for that member in all matters relating to this cooperative purchasing program, including the designation of specific contracts in which the member desires to participate. This Agreement shall take effect as to each signatory upon execution by its authorized representatives. 6. This Agreement shall be in effect from date of execution until terminated by any party to this agreement by written notice to the other parties stating the date of such termination. A minimum of 30 days written notice must be given to terminate this Agreement. A termination by one party shall terminate only that party =s participation in this Agreement, and this Agreement shall remain in effect for the remaining, non - terminating parties. Exhibit "A" will constitute a list of Member Cities. IN WITNESS WHEREOF, the parties hereto have caused this agreement to be executed by their authorized officers the day and year indicated beside each member's authorized signatures.
