Home My WebLink About2347 06-27-2023ORDINANCE NO. 2347 AN ORDINANCE EXTENDING, RENEWING, AND AMENDING A FRANCHISE TO ATMOS ENERGY CORPORATION TO CONTINUE TO CONSTRUCT, MAINTAIN, AND OPERATE PIPELINES AND EQUIPMENT IN THE CITY OF EULESS AND FOR THE DELIVERY, TRANSPORTATION, SALE, AND DISTRIBUTION OF GAS IN, OUT OF, AND THROUGH THE CITY OF EULESS; PROVIDING A TERM FOR THE FRANCHISE; PROVIDING A SEVERABILITY CLAUSE; PROVIDING FOR PUBLICATION; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the City Council of the City of Euless has determined that it is in the best interest of the citizens to utilize a qualified professional organization to continue to construct, maintain, and operate pipelines and equipment for the delivery, transportation, sale, and distribution of gas in an efficient, safe, and healthy manner; and WHEREAS, the City Council previously approved Ordinance No. 2005 granting a franchise to Atmos Energy Corporation for the provision of such delivery, transportation, sale, and distribution of gas for a term ending on September 30, 2023; and WHEREAS, Atmos Energy Corporation has performed such services for the citizens of Euless in an efficient, economical, and healthy manner and is qualified to continue providing such services, facilities and equipment necessary to fulfill the current and future gas services of the City; and WHEREAS, the City and Atmos Energy Corporation desire to renew, extend, and amend the current franchise agreement upon the terms and conditions set forth herein; and WHEREAS, it is the intent of the City Council in approving this ordinance to extend the current franchise for a five-year term with the ability to renew and extend the Franchise for an additional five-year term upon agreement of the City and Atmos Energy Corporation as provided in Section 9 of Ordinance No. 2005, as amended, and such renewal and extension is hereby determined by the City Council to be in compliance with the requirements of Article XI, Section 3 of the City Charter. NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF EULESS, TEXAS: The City of Euless hereby renews, extends, and amends the Franchise with Atmos Energy Corporation previously approved in Ordinance No. 2005 granting to Atmos Energy Corporation consent to use and occupy, subject to the terms hereof, the Public Right -of - Way, for the purpose of laying, maintaining, constructing, protecting, operating, and replacing therein and thereon pipelines and all other appurtenant equipment to deliver, transport, and distribute gas in, out of, and through the City for persons, firms, and corporations, including all the general public, and to sell gas to persons, firms, and corporations, including all the general public, within the City corporate limits, as such limits may be amended from time to time during the term of this Franchise. FRANCHISE AGREEMENT FOR THE DELIVERY, TRANSPORTATION, SALE, AND DISTRIBUTION OF GAS IN, OUT OF, AND THROUGH THE CITY OF EULESS This FRANCHISE AGREEMENT ("Franchise") is entered into by and between the City of Euless, Texas, a Home Rule Municipal Corporation located in Tarrant County, Texas, (the "City"), and Atmos Energy Corporation ("Contractor"). In consideration of the following mutual agreements and covenants, the City and Contractor do hereby agree as follows: SECTION 1. CONSIDERATION AND METHOD OF PAYMENT Section 7 of Ordinance No. 2005 is amended in part to read as follows: "SECTION 7. CONSIDERATION AND METHOD OF PAYMENT (A) Grantee shall pay City on or before the 15th day of November 2023 and on or before the 15th day of February, May, and August 2024, and on or before the same days of each succeeding year during the term of this Franchise, five percent (5%) of the Gross Revenues received by Grantee during the preceding calendar quarter. (B) On November 15, 2023, Grantee shall make the initial payment of the Franchise Fee pursuant to this Ordinance for the privilege period from October 1, 2023, to December 31, 2023, based on the Gross Revenues during the preceding calendar quarter (July 1 to September 30, 2023). Each subsequent payment shall be made as follows: Payment Due February 15 May 15 August 15 November 15 Basis Period Oct. 1 — Dec. 31 Jan. 1 — March 31 April 1 — June 30 July 1 — Sept. 30 Privilege Period Jan. 1 — March 31 April 1 — June 30 July 1 — Sept. 30 Oct. 1 — Dec. 31 The final payment under the subsequent term of this Franchise shall be due on August 15, 2033, based on the Gross Revenues received April 1 to June 30, 2033, for the privilege period from July 1 to September 30, 2033." TERM This Franchise shall be for a five (5) year period beginning October 1, 2023, and ending five (5) years thereafter. With the approval of both City and Grantee, the Franchise may be extended for an additional term of five (5) years on the same terms and conditions as set forth herein." SECTION 3. EFFECT OF AMENDMENT All other terms of Ordinance No. 2005 and the Franchise Agreement approved thereunder shall remain in full force and effect except as specifically amended herein. SEVERABILITY CLAUSE It is hereby declared to be the intention of the City Council that the sections, paragraphs, sentences, clauses and phrases of this ordinance are severable, and if any phrase, clause, sentence, paragraph, or section of this ordinance shall be declared invalid or unconstitutional by the valid judgment or decree of any court of competent jurisdiction, such invalidity or unconstitutionality shall not affect any of the remaining phrases, clauses, sentences, paragraphs, and sections of this ordinance, since the same would have been enacted by the City Council without the incorporation in this ordinance of any such invalid or unconstitutional phrase, clause, sentence, paragraph, or section. My question is:How reliable do you feel the blind spot monitor is?To put it another way —can I trust it with my life?If not,there is no point in having it.—Art I think you can,Art.I mean,no technology is 100%perfect at all times. But I’ve found blind spot monitoring to be extreme- ly reliable and accurate. And you’re absolutely right.It’s an enormous improvement in driving safety.I think we’ll look back on when we used to snap our necks around and look backward while driving at 70 mph and think that was both dan- gerous and barbaric.I’ll give you two caveats,Art. One is that while the de- tection technology works really well,the warning part of the system varies from car to car.We test new cars all the time. Some of them have large, bright warning lights on the A-pillar or inside the side-view mirror that really grab your attention when a car is approaching from behind.Some newer cars even project the warnings through the windshield via a head up display.The best systems add further preventative steps if you try to change lanes despite the warning. Some,if you put on your turn signal to change lanes,will sound an addi- tional,audible warning if it’s not safe.Others will actually nudge the steer- ing wheel to keep you in your lane or vibrate your seat to get your attention. Those systems make it really hard to screw up. The weakest systems, on the other hand,have small and dim lights in the side-view mirror that you have to look for —rather than lights that grab your attention. So,look for a system with warnings that are highly visible to you and have additional protec- tions.The second caveat is that any technology can fail or fall short.Ask the Apollo 13 crew.In the case of blind spot monitors,if someone is speeding in the lane next to you — going 90 mph while you’re going 65 —be- tween the time you check the blind spot monitor and when you start to change lanes,that moron could be in your way.Or,if some- one changes into the next lane at the same time you are,the system might miss that.So even though the technology is great,it’s always good to check your mirrors,signal and move over slowly —to give someone a chance to honk if they happen to get around your warning sys- tem. Dear Car Talk: Love your column and read it every week. My son's car has tires inflated with nitrogen. I'm curious about the pros and cons of that option. I hadn't heard of this before and wonder if it is going to become commonplace. Also, is there a big cost differential vs. air in- flation? — Gregory I don't want to go so far as to call this a scam, Gregory, because scam is a very strong word. But it's really close.So, let's go with "unnecessary upsell." There are some tire shops these days that are charging people to fill their tires with nitrogen rather than "air." But keep in mind, air is 80% nitro- gen. Now, they cite some reas onable sounding argu- ments for why you might want to use 100% nitro- gen rather than 80% ni- trogen and 20% oxygen — known as air. For instance, they say if your car catch- es fire and your tire ex- plodes, nitrogen —an inert gas —won't feed the tire. What they fail to men- tion is that there's an infinite amount of oxygen all around the tires, in the air. So that's nonsense. They'll also tell you that nitrogen -filled tires don't change pressure as much as air -filled tires when your tires heat up and cool down. This iS true, but it hardly matters. The normal range THERE ARE SOME TIRE SHOPS THESE DAYS THAT ARE CHARGING PEOPLE TO FILL THEIR TIRES WITH NITROGEN RATHER THAN 'AIR:' BUT KEEP IN MIND, AIR IS 80% NITROGEN.
