WHEREAS, the City of Euless, Texas, authorized and granted
a franchise to Tarrant Cable Communications, Inc., for the
operation of a community antenna television system within the
corporate' limits of such city; and
WHEREAS, on the 17th day of September, 1979, Tarrant Cable
Communications, Inc., accepted such franchise and a certifi-
cate thereof was issued by the City of Euless, Texas; and
WHEREAS, subsequent thereto Tarrant Cable Communications,
Inc., has, pursuant to such franchise, established, construct-
ed, operated and maintained a community antenna television
system within the corporate limits of the City of Euless, Texas;
and
WHEREAS, pursuant to the enabling ordinance of the city
authorizing such franchise, the consent of the city is required
for any transfer of ownership of the operating franchisee with
respect to such franchise; and
WHEREAS, Tarrant Cable Communications, Inc., has request -
ed of the City of Euless, 'Texas, authority to merge such
corporation into Storer Cable TV of Texas, Inc., a Texas
corporation, for the purpose of facilitating operating effi-
ciency and cost effectiveness; and
WHEREAS, upon the completion of such merger there will be
effected no change in the ownership of the corporate franchisee
or its operations under such franchise.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF EULESS, TEXAS, in regular meeting duly convened, that
pursuant to the provisions of Ordinance No. 576 granting a
franchise for the operation of a cable antenna television
system to Tarrant Cable Communications, Inc., and Euless' Cable
Antenna Television Ordinance, same being Ordinance No. 576,
consent is herewith and hereby given for the merger of Tarrant
Cable Communications, Inc., into Storer Cable TV of Texas,
Inc., upon the conditions and subject to the following:
1)
That such merger be effected and copies of Articles
of Merger as issued by the Texas Secretary of State
be furnished to the City Secretary of the City of
Euless, Texas, on or before 120 days from date
hereof.
2) That Storer Cable TV of Texas, Inc., furnish within
120 days from the date hereof a copy of a resolution
of the Board of Directors of Storer Cable TV of
Texas, Inc., acknowledging the acceptance as suc-
cessor corporation to Tarrant Cable- Communica-
tions, Inc., of the franchise granted by Ordinance
No. 576 of the City of Euless, Texas, and the
assumption of and agreement to perform all re-
sponsibilities, obligations, duties, and liabili-
ties imposed thereby.
APPROVED AND ADOPTED at a regular meeting of the Euless
City Council held on the 10th day of April , 1984 -, by
a vote of 5 ayes, 0 nays, and 0 abstentions.
