WHEREAS, the City of Euless owns certain real property known commonly as
the "Harwood well site," fronting on Harwood Road in the City of Bedford, Texas,
and out of the B.B.B. and C.R.R. Co. Survey, A -204, and comprising approximately
.68 acres of land; and
WHEREAS, Greenway Investment Company has under contract for purchase a
tract of property adjacent to such Harwood well site; and
WHEREAS, because of limitations imposed by the State Department of
Highways and Public Transportation and the City of Bedford, Texas, ingress and
egress to such adjacent tract will not be permitted from Harwood Road; and
WHEREAS, Greenway Investment Company desires to acquire a portion of the
Harwood well site from the City of Euless to be used in conjunction with a portion of
the adjacent property to provide ingress and egress from Harwood Road to such
adjacent property; and
WHEREAS, Greenway Investment Company has executed and delivered to the
City of Euless, Texas, a Letter of Intent with respect to the terms and conditions of
a proposed transfer and exchange of properties by and between the City of Euless,
Texas, and Greenway Investment Company, a copy of which Letter of Intent and
attachments thereto are attached hereto and incorporated herein by reference; and
WHEREAS, the Euless City Council, by the adoption of this resolution, does also
agree to such transfer and exchange of properties upon the terms and conditions
therein stated.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF EULESS, TEXAS:
That subject to the satisfaction of all the terms and conditions stated in such
Letter of Intent and the approval by the city attorney of all instruments to be
executed in consummation, the mayor of the City of Euless, Texas, is herewith
authorized to execute and deliver all instruments necessary to effect the transfer
and exchange of properties and the satisfaction of the conditions stated within such
Letter of Intent.
PASSED, APPROVED AND ADOPTED THIS 24th day of July, 1990.
