MINUTES
APRIL 9, 2019
A special meeting of the Euless Industrial Development Authority was called to order by its
acting President Linda Martin on Tuesday, April, 9, 2019, in the Precouncil Conference
Room of City Hall, 201 North Ector Drive. Those present included: Mayor Linda Martin,
Mayor Pro Tern Tim Stinneford, Council Members Jeremy Tompkins, Eddie Price, Harry
Zimmer, Salman Bhojani, Deputy City Manager Bob Freeman, Assistant City Manager Chris
Barker, City Secretary Kim Sutter, Finance Director Janina Jewell, and City Attorney Carvan
E. Adkins. Council Member Linda Eilenfeldt was was absent from the meeting.
ITEM NO. 1. CALL TO ORDER
Acting President Linda Martin called the meeting to order at 6:30 p.m.
ITEM NO. 2. ELECTION OF OFFICERS
Acting President Martin reviewed the purpose for the special meeting and advised that the
first order of business was to conduct an election of officers and to appoint a new registered
agent for the Authority. Thereafter the election of officers proceeded as follows:
Council Member Stinneford nominated Linda Martin as President. Council Member
Tompkins seconded the motion and the vote was unanimous.
Council Member Stinneford nominated Eddie Price as Vice President. Mayor Martin
seconded the motion and the vote was unanimous.
Council Member Tompkins nominated Kim Sutter as Secretary. Mayor Martin seconded the
motion and the vote was unanimous.
Council Member Bhojani nominated Janina Jewell as Treasurer. Mayor Martin seconded
the motion and the vote was unanimous.
Council Member Bhojani nominated Wayne K. Olson as the Registered Agent. Mayor
Martin seconded the motion and the vote was unanimous.
ITEM NO. 3. APPROVED MINUTES OF OCTOBER 6, 1994
Council Member Price motioned to approve the minutes of the October 6, 1994 meeting.
The motion was seconded by Council Member Stinneford and the vote was unanimous.
ITEM NO. 4. APPROVED A RESOLUTION AUTHORIZING THE EXECUTION AND
FILING OF THE CERTIFICATE OF TERMINATION WITH THE TEXAS
SECRETARY OF STATE
The City Attorney advised the Authority board members of the steps required to terminate
the legal existence of the Euless Industrial Development Authority, confirmed that there

were no outstanding legal claims against the Authority and confirmed that a review of the
City's records did not identify any assets or debts in the name of Euless Industrial
Development Authority. Letters confirming the above findings will be attached to and filed
with the minutes of today's meeting. He also confirmed that the City Attorney's office would
file the required Certificate of Termination with the Texas Secretary of State terminating the
rights of the Authority to do business in the State of Texas and that upon receiving a filed
marked copy of the Certificate back from the Secretary of State's office the same would be
filed of record in the minute book of the Authority. Thereafter the following actions occurred:
Council Member Zimmer motioned to terminate the existence of the Euless Industrial
Development Authority, and authorizing the execution and filing of the Certificate of
Termination of a Domestic Nonprofit Corporation (Form 652) with the Texas Secretary of
State. The motion was seconded by Council Member Tompkins and carried by unanimous
vote.
The President of the Euless Industrial Development Authority, Linda Martin, executed the
Certificate of Termination before the other members of the Corporation.
ITEM NO. 5. APPROVED MINUTES OF APRIL 9, 2019
Council Member Tompkins motioned to approve the minutes of the April 9, 2019 meeting.
The motion was seconded by Council Member Bhojani and the vote was unanimous.
ITEM NO. 6. ADJOURN
President Martin adjourned the meeting at 6:35 p.m.
